Why public AI forces executives to rethink disclosure, control, and legal exposure

The real issue is not the model

Most executives still evaluate generative AI through the wrong lens. They ask whether the system is accurate enough, useful enough, fast enough, or enterprise-ready enough. Those are valid questions, but they are not the first ones. The first question is simpler and more consequential. What happens when sensitive information leaves a controlled environment and enters a public AI system that a court may treat as a third party. Reuters’ March 24 analysis of United States v. Heppner points directly at that issue, arguing that the court’s reasoning on attorney-client privilege may also matter for trade secrets and other confidential business information.

That is the strategic significance of this story. It is not mainly about chatbot quality. It is about disclosure risk hidden inside normal workflows.

A court just made the boundary problem visible

In Heppner, Judge Jed Rakoff of the Southern District of New York held that a defendant’s exchanges with Anthropic’s Claude were not protected by attorney-client privilege or the work product doctrine. The court’s reasoning turned on a familiar legal point rather than a futuristic one. The communications were made to a public AI platform, the privacy terms did not support a reasonable expectation of confidentiality, and the use of the tool was not shown to be at counsel’s direction. Reuters then highlighted the broader implications: if confidentiality is central to privilege and to trade secret protection, careless use of public AI tools can create exposure well beyond litigation strategy.

For serious operators, that should be the headline. A public AI interface may feel like software. A court may still see a third party. That distinction is now too expensive to ignore.

This is an executive control issue

The business mistake here is not enthusiasm for AI. It is imprecision about system boundaries.

In many organizations, employees still treat public AI tools as if they are lightweight extensions of internal software. They paste in draft contracts, board language, pricing logic, product roadmaps, investigation notes, competitive analysis, customer information, and deal thinking because the interaction feels temporary and the benefit feels immediate. But from a governance perspective, that behavior can amount to unmanaged outbound disclosure. Legal commentators discussing Heppner have emphasized exactly that point: the case is a warning that public-model interactions may not carry the confidentiality assumptions many users casually project onto them.

That is why this matters at the executive level. The problem is not that employees are using AI. The problem is that companies have often deployed AI culturally before they deployed it structurally.

Why this matters beyond lawyers

It is tempting to frame this as a narrow legal caution for counsel and litigators. That would be a serious underread.

Privilege is simply the cleanest place for the issue to surface first. The underlying control failure reaches much further. If employees cannot distinguish between a public AI tool, a contracted enterprise deployment, an internal model environment, and a protected workflow, then the organization lacks a mature AI operating model. It has fragmented behavior under a modern interface.

That affects more than legal work. It affects corporate development, product strategy, finance, compliance, security, HR, and investor communications. A strategy memo pasted into a public system is not just a drafting shortcut. It may be a disclosure event. A confidential product document uploaded for summarization is not just a productivity move. It may weaken the company’s protection posture around proprietary information. Reuters’ analysis matters precisely because it widens the aperture from one criminal case to the broader question of what public AI use can do to confidentiality itself.

This is where AI governance becomes operational instead of rhetorical.

The next phase of AI risk will be quieter

A lot of AI commentary still focuses on visible failures: hallucinations, bad recommendations, broken agents, embarrassing outputs. Those risks are real, but they are easy to see. The next class of enterprise AI risk is likely to be quieter and more structural.

It will emerge when companies discover that apparently routine employee use of public AI systems created legal ambiguity, weakened secrecy claims, complicated discovery, or forced uncomfortable questions about what the organization actually controlled. The danger is not only misuse. It is false categorization. Once a company mistakes an external system for an internal capability, governance begins to drift.

That is why this Reuters story is more important than it may look at first glance. It is a signal that courts may not adopt the market’s emotional framing of AI tools. They may instead apply ordinary confidentiality logic to extraordinary amounts of corporate behavior.

Executives should assume that legal institutions will be less impressed by AI convenience than internal teams have been.

What serious companies should be doing now

This is not an argument for retreat. It is an argument for sharper architecture. Serious companies will now separate public AI use from enterprise AI use much more aggressively. They will map which workflows involve privileged information, trade secrets, regulated content, sensitive customer data, strategic planning, or internal deliberation. They will review vendor terms, retention practices, training rights, data handling commitments, auditability, identity controls, and administrative restrictions. They will stop issuing vague instructions about “responsible AI use” and replace them with concrete rules tied to actual work. Legal analysis of Heppner has stressed that organizations should revisit their policies and training immediately, precisely because many employees do not understand the confidentiality consequences of using public tools.

The firms that do this well will gain something more important than compliance comfort. They will gain decision clarity. They will know which AI use creates leverage and which creates liability.

The strategic takeaway

This is the shift executives need to understand. Generative AI is no longer just a productivity layer. It is a boundary-testing layer. Every use case now carries an implicit governance question. Is this system inside the company’s control architecture, or merely adjacent to it. Is this interaction a secure business workflow, or a disclosure wrapped in convenience.

The companies that answer those questions early will be in a much better position than those still arguing over whether employees “should just be careful.”

Carefulness is not a control system. It never was.
